Terms and Conditions
A "reported lease" is defined as a lease signed by a renter for any term that is 90 days or longer. The Standard Pricing Schedule below sets forth the applicable fee due based on the number of active participating properties of Client. The actual fee due will be based on the number of active participating properties of Client at the time a reported lease was signed by Client. Client agrees to pay MNP pursuant to the terms of this contract, with payment due within 30 days of receipt of invoice. If payment is more than thirty (30) calendar days past due an additional 1.5% per month, or the maximum allowable by law, whichever is less, may be assessed on the total amount of the late payment, and the entire amount of unpaid Charges or other outstanding balance (if any), plus this assessment, will become immediately due and payable. This contract is subject to cancellation by either party on thirty days' written notice for any reason and with no penalty, however, Client agrees that it is obligated to pay success fees to MNP and reimburse MNP for any rebates paid for any reported leases from renters who view the property prior to termination of this agreement and move into the property within 90 days of the termination of this agreement. Client also has the right to list and de-list properties at will, however, Client recognizes that it will still be obligated to pay the success fee and rebate for all reported leases from renters who viewed the property prior to de-listing and moved in within 90 days. Any new properties a Client acquires will be subject to the same terms and conditions.
Client authorizes MNP to publish specific information about rental terms and conditions of Client's registered property. MNP is not responsible for ensuring the accuracy or completeness of property information. All information will comply with all federal, state and local fair housing laws, regulations and ordinances. Client authorizes MNP to gather specific property information from publicly available sources including its own corporate website as well as by contacting each specific property. Client agrees to make such information available in a timely basis, and once posted, Client agrees to provide MNP any changes in such information including the immediate notification of any change of the ownership/management status of any of its properties listed on the service. Client hereby consents to receiving emails, faxes and other forms of communication from MNP from time to time during this Agreement.
In the event that Client has a dispute with any of MNP's other property owners, management companies or renters, Client will indemnify and hold harmless MNP from claims, demands and damages of every kind arising out of such dispute. Client acknowledges that MNP is not acting as a broker for any party in any lease transaction between it and any renter who may find the Client's property through the MNP service, notwithstanding any performance based advertising fee MNP may charge the Client.
Client represents that the Advertising Agreement does not violate any Exclusive Listing arrangement that Client may have with any other party. The term of the Advertising Agreement shall commence on the date that MyNewPlace.com launches its service in the state where the property is located. This Agreement has been made in and shall be construed and enforced in accordance with the laws of the state of California. Any action on this Agreement shall be brought in the federal or state courts located in California, County of San Francisco. This agreement shall be treated as confidential by the parties and shall not be disclosed to any third parties, except to the receiving party's employees, accountants and lawyers.
